Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and Atomos Education Pvt Ltd ("Atomos", "we", "us", or "our"), governing your use of our website at atomosen.in and all related services, including the ordering of customized study material under the brand Atomos Essential Notes (EN).

By accessing our platform or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please refrain from using our services.

1. Definitions

• "Atomos EN" / "Essential Notes" — fully customized printed study material produced by Atomos Education Pvt Ltd.
• "Atomos Connect" — an optional feature embedded in Atomos EN wherein printed QR codes link to educational web applets accessible via scan.
• "Customization" — the process of incorporating a client's institute name, contact number, logo, class name, header text, watermark, cover page, and other personalized elements into the study material.
• "Order" — a confirmed purchase of customized Atomos EN study material raised by the Client.
• "Quotation" — a formal price proposal issued by Atomos before an Order is placed.

2. Products and Services

2.1 Customized Study Material

Atomos Education Pvt Ltd provides fully customized study material (Atomos Essential Notes) tailored to each institute's requirements. Customization includes, but is not limited to:

• Institute name and contact number printed as a header on every page;
• Institute logo or class name printed as a watermark on every page;
• Custom cover page design;
• Content aligned to the client's specified board, standard, and subject.

Atomos reserves the right to modify, update, or discontinue any product or service at any time with reasonable prior notice.

2.2 Atomos Connect (QR Code Web Applets)

Certain editions of Atomos Essential Notes may include printed QR codes that link to interactive educational web applets — a feature collectively known as "Atomos Connect". The following conditions apply:

• Atomos Connect web applets are valid and accessible for a period of twelve (12) months from the date of order dispatch, after which access may be discontinued without further notice;
• Atomos does not guarantee uninterrupted availability of applets and shall not be liable for temporary or permanent outages;
• The educational content accessible through Atomos Connect QR codes is proprietary to Atomos Education Pvt Ltd and is subject to all intellectual property protections set out in these Terms;
• Clients may not reproduce, redistribute, or commercially exploit any content accessed via Atomos Connect without prior written consent.

3. Orders and Confirmation

3.1 Quotation and Order Placement

All orders must be preceded by a formal Quotation issued by Atomos. An Order is considered placed only after the Client formally accepts the Quotation and submits the required advance payment as specified in Clause 4.

3.2 Minimum Order Quantity

The following minimum order quantities apply:

• New Orders: A minimum of twenty-five (25) sets per product is required to avail customization. Orders below this quantity will not be accepted for new customizations;
• Repeat Orders: For a repeat order of the same product placed within the same academic year as the original Order, quantities below twenty-five (25) sets may be accepted at Atomos's sole discretion, subject to availability and production feasibility;
• Atomos reserves the right to decline any order that does not meet the minimum quantity requirements.

3.3 Order Confirmation

An Order shall be confirmed and production commenced only after receipt of a minimum advance payment of sixty percent (60%) of the total Order value. No customization work, printing, or material procurement shall begin prior to receipt of this advance.

3.4 Customization Approval

Before physical production commences, Atomos will share a digital sample/proof with the Client for review and approval. The Client must provide written approval (via email, the Atomos platform, or WhatsApp) before production proceeds. Atomos shall not be held liable for errors in the final product that were present in an approved proof.

3.5 Delivery Timeline

Orders will be dispatched within fifteen (15) working days of receipt of the Client's formal customization approval, subject to:

• Receipt of the 60% advance payment;
• Timely provision of all required customization assets (logo, header text, address, etc.) by the Client;
• Absence of force majeure events.

Atomos shall not be liable for delays caused by the Client's failure to provide required materials or approvals in a timely manner.

4. Pricing and Payment

4.1 What the Product Price Includes

The price quoted per product set includes the following charges:

• Customization charges — incorporating the Client's institute name, contact number, header text, watermark (logo or class name), cover page design, and other personalized elements;
• Printing charges — full-run printing of the customized material;
• Designing charges — layout design, typesetting, artwork preparation, and digital proof creation;
• Finishing charges — binding, cutting, and quality checks.

4.2 Transportation Charges

The product price quoted by Atomos does not include transportation or logistics charges. The following terms apply to delivery:

• All transportation, freight, courier, and logistics costs from Atomos's dispatch point to the Client's delivery address shall be borne entirely by the Client;
• Transportation charges will be communicated to the Client at the time of dispatch and shall be payable before or at the time of delivery, as applicable;
• Atomos shall arrange logistics on the Client's behalf for convenience, but acts solely as a facilitator and is not liable for transit delays, damages, or losses caused by the logistics provider;
• Risk of loss or damage to goods passes to the Client upon handover to the logistics provider.

4.3 Payment Schedule

Unless otherwise agreed in writing, the following payment schedule applies:

• Advance (on Order confirmation): 60% of the total Order value;
• Balance (at the time of dispatch): 40% of the total Order value.

Dispatch of goods shall be withheld until the full balance payment is received.

4.4 Pricing Validity

Quotations are valid for the period specified therein. Atomos reserves the right to revise prices for new Orders at any time without prior notice.

4.5 Taxes

All prices are exclusive of applicable Goods and Services Tax (GST) and other statutory levies unless expressly stated otherwise. GST will be charged at the applicable rate.

5. Intellectual Property

5.1 Ownership

All content, designs, text, curriculum, layouts, digital applets, and other materials forming part of Atomos Essential Notes — including those accessible via Atomos Connect — are the exclusive intellectual property of Atomos Education Pvt Ltd and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable laws of India.

5.2 Prohibited Acts

The following acts are strictly prohibited and constitute infringement of Atomos's intellectual property rights and/or a punishable offence under applicable law:

• Copying or reproduction: Copying, reproducing, scanning, photographing, or digitizing any part of Atomos study material in any form without prior written permission from Atomos;
• Photocopying and mass distribution: Making photocopies of Atomos study material — whether for personal use, classroom distribution, or commercial distribution — and distributing, sharing, or circulating such copies to students, other institutes, or any third party without prior written authorization;
• Storage and transmission: Storing, transmitting, uploading, or sharing Atomos material in digital or physical form — including via WhatsApp, email, cloud storage, social media, or any other medium — without authorization;
• Sale and commercial exploitation: Selling, reselling, licensing, or commercially exploiting Atomos material or any derivative work thereof;
• Tampering with Atomos Connect: Attempting to access, reverse-engineer, intercept, modify, tamper with, bypass, or otherwise interfere with the Atomos Connect web applets or the QR code infrastructure linking to them. Any attempt to extract, reproduce, or misuse the digital content accessible through Atomos Connect without authorization is strictly prohibited and constitutes an offence under applicable law;
• Removal of branding: Removing, altering, defacing, or obscuring any copyright notice, watermark, QR code, branding, institute header, or any proprietary marking embedded in the material.

5.3 Legal Consequences

The acts described in Clause 5.2 — including but not limited to unauthorized copying, photocopying, storage, distribution, sale, and tampering with Atomos Connect — are punishable offences under applicable Indian law, including but not limited to:

• The Copyright Act, 1957 — which provides for imprisonment of up to three years and/or a fine for willful infringement of copyright;
• The Information Technology Act, 2000 — which governs unauthorized access to and tampering with computer systems and digital resources;
• Any other applicable statutes and regulations in force.

Atomos Education Pvt Ltd reserves the right to initiate civil and/or criminal proceedings against any individual, institute, or entity found to have infringed its intellectual property rights or tampered with its digital systems, and to seek damages, injunctions, account of profits, and any other remedies available at law or in equity.

5.4 Client's Limited Licence

Upon full payment, the Client is granted a non-exclusive, non-transferable, limited licence to use the customized study material solely for internal educational purposes within the Client's own institute. This licence does not permit reproduction, redistribution, or commercial use.

6. Cancellation Policy

• Orders may be cancelled before customization approval without penalty, subject to deduction of any costs already incurred (artwork, digital preparation, etc.).
• No cancellation or modification is permitted once customization approval has been granted by the Client.
• Cancellation requests must be submitted in writing to atomoseducation@gmail.com.

7. Refund Policy

Please refer to our separate Refund Policy for complete details. In summary:

• No refund shall be issued once customization work has commenced following client approval;
• Advance payments are non-refundable except in cases of production defects attributable solely to Atomos.

8. Limitation of Liability

To the fullest extent permitted by law:

• Atomos's total liability for any claim arising out of or relating to an Order shall not exceed the amount paid by the Client for that specific Order;
• Atomos shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or business opportunity;
• Atomos shall not be liable for delays, errors, or omissions arising from force majeure events, including natural disasters, government actions, strikes, or internet/network outages.

9. Warranties and Disclaimer

Atomos warrants that it will produce customized study material using reasonable skill and care in accordance with the approved proof. Atomos does not warrant that the material is free from all errors or that it meets any specific educational outcome. The Client is responsible for reviewing and approving the digital proof before production.

10. Indemnification

The Client agrees to indemnify, defend, and hold harmless Atomos Education Pvt Ltd and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to: (a) the Client's use of the material in breach of these Terms; (b) infringement of any third-party intellectual property rights caused by the Client's customization instructions; or (c) the Client's violation of any applicable law.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of India. All disputes, controversies, or claims arising out of or relating to these Terms, including their breach, termination, or validity, shall be subject to the exclusive jurisdiction of courts located in Nashik, Maharashtra, India. The parties agree to attempt resolution of disputes through good-faith negotiation before resorting to litigation.

12. Amendments

Atomos reserves the right to amend these Terms at any time. Updated Terms will be posted on atomosen.in with a revised effective date. Continued use of our services after posting constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Atomos Education Pvt Ltd with respect to our services and supersede all prior agreements, representations, or understandings.
